Terms and Conditions

The following describes the Terms and Conditions for the ReplyManager email management system. Our policy requires that subscribers agree and adhere to these terms and conditions.

The ReplyManager Service

ReplyManager (owned and operated by ReplyManager LLC) is a web-based subscription email management service that allows you to upload, store, transmit, disseminate and otherwise distribute content to and from your account. Your use of the service is at your own risk. The service is provided on an AS IS and AS AVAILABLE basis.


Your privacy is important to ReplyManager LLC. Our Privacy Policy, (available at http://www.replymanager.com/privacy-policy) is hereby incorporated into these Terms by reference. Please read the Privacy Policy carefully for information relating to ReplyManager LLC's collection, use and disclosure of your personal information.

Support Policy

Standard support for services described can be obtained during normal business hours by calling +1 772 932 8485 or by sending an email to support@replymanager.com.

After hours support for EMERGENCIES ONLY is available by sending an email to 911@replymanager.com or by calling our office and obtaining further instructions from our after hours voice message at +1 772 932 8485.

Account, Payment, Refund, Upgrading and Downgrading

A.) Payment is handled primarily through Paypal and Stripe, with a recurring monthly subscription. Both Paypal and Stripe accepts most major credit cards.

B.) Service subscriptions are automatically billed each month, unless other arrangements are made. The billing cycle for each customer will begin on the date they subscribed and billed on the same day each month moving forward. An invoice/receipt will be emailed directly to the billing address on file under Contact Information in the Setup > Billing section.

C.) Customers may cancel their service subscription at any time by accessing the Setup > Billing section and selecting the Cancel option. We do not issue refunds for unused portions if you cancel in the middle of a billing cycle.

D.) Customers may upgrade or downgrade their account via the Setup > Billing section and selecting Update Plan. The previous service plan subscription will be cancelled and a new billing cycle will begin.

E.) ReplyManager LLC reserves the right to change our fees at any time by posting a new pricing structure to our website and/or sending you a notification by email.

Data Retention Following Cancellation

ReplyManager LLC retains data for 90 days following the subscription cancellation. Access to this data within that period of time is available by contacting support@replymanager.com directly. However, we suggest customers export data prior to canceling.

105 days after cancellation, data is removed from all of our systems including our backups.

System Maintenance

From time to time, ReplyManager LLC may implement updates to the system. Updates will be fully tested in accordance with normal release cycle process prior to release. If, however, on release, the Customer experiences any significant problems, the previous version will be restored within a reasonable period of time.

Limitation of Liability

We are going to assume that if something truly horrible were to happen to your service data, it would probably cost you $millions. On the other hand, ReplyManager LLC does not always have $millions in the bank. So really there is not much point in you suing us for all of your damages. Consequently, by signing this, you are agreeing to limit our liability to the amount that you've paid us.

Governing Law and Indemnification

You agree that any dispute arising from this agreement and our work for you shall be resolved in accordance with the laws of the State of Florida. Also, you agree that in any action or proceeding to enforce rights under this Agreement, the prevailing party will be entitled to recover the costs and attorneys' fees, whether or not a suit is actually filed.

Assignment and Transferability

You can assign this Agreement to another company if you sell your company, or merge with another company. If either party to this agreement changes its corporate form, this agreement will bind the successor companies.

Acceptable Use Policy

Our Acceptable Use Policy is available at http://www.replymanager.com/acceptable-use-policy. Please read the Acceptable Use Policy carefully, as you are agreeing to be bound by the rules and restrictions as to what you the user, are and are not allowed to do, and how the software program may be used.
